The following text represents a legally binding contract between you, and JUSTIN WEST, being activated and accepted by the receipt of payment for any and all "Options Contracts", sold by JUSTIN WEST via any means described herein. |
|
|
|
|
|
|
|
|
|
|
|
It is your responsibility to contact JUSTIN WEST, for the means of your giving accurate details of which work, and/or which print number, if you have a preference, you'd like to have marked as being reserved on your behalf. Either click here, or on the "Contact Information" link above for more information, regarding ways you can get in touch with JUSTIN WEST.

|
|
|
|
|
|
You're paying for the option to purchase a work, at a later date, at a fixed price, at least 1 month after payment is received. Additional option periods may be granted with the receipt of additional funds, to a maximum future date of 12 monthly periods, ($60.00 for 12 months). |
|
|
|
|
|
|
|
|
|
|
|
(I) The purchase of an option contract shall not effect the final sale price on any associated work, and is in no way deducted from the purchase price for the work(s) in question. Any applicable NYS Sales Tax (7.5%), shall be additional to the purchase price of any options sold. |
|
|
|
|
|
(II) A work's purchase price is: $129.00 per numbered print. Any applicable NYS Sales Tax (7.5%), shall be additional to the purchase price of any underlying works sold.
|
|
|
|
|
|
(III) Full shipping, delivery, and insurance costs are included in the purchase price, to any final delivery address within the continental United States. For international addresses, additional shipping charges may apply. |
|
|
|
|
|
|
|
|
(I) 1 month of "reserved" status per print, per work, shall be granted per $5.00 payment which has been recieved by JUSTIN WEST. |
|
|
|
|
|
(II) Grace Period: A grace period of up to 10 days may be granted, between the ending of any monthly options contract, and the removal of any "Reserved" status afforded the numbered print you may have wanted. The duration of the aforementioned grace period is at the sole discretion of JUSTIN WEST. |
|
|
|
|
|
(III) Once the period of one month, plus any grace period extended, has expired, JUSTIN WEST may at his sole discretion remove any/all "reserved" marks from any/all numbered prints which may have been held on your behalf previously by purchasing an option for the specific work or works. They will then be returned to the pool of "available" works, and may be optioned and/or purchased by a third party or person.

|
I, Justin West, will not sell, or distribute any print(s), of any work(s), for which I have received any payment(s), unless or until, I have confirmed disinterest from you, either via spoken, or written means, or due to your neglect and/or failure to pay for any such print(s), unless specifically discussed with me personally. (i) "Neglect" being defined above as: the failure to either, pay the full purchase price in a timely manner, or failure to purchase additional monthly options in a timely manner.
I also covenant not to sell multiple options for the same numbered print, under any circumstances.
Having 200 numbered prints to keep track of, is a lot of book-keeping and clerical work. If I do make a mistake, I will of course take full responsibility and will work with you to remedy any error or mistake in a timely and professional manner.

|
A. You are at least eighteen, (18), years of age and have the full right and authority to enter into this contract on behalf of yourself and/or your company, or employer. |
|
|
|
|
|
B. You do not reside in any country to which export of US products are prohibited or restricted and you shall not ship, transfer or export any of the works into any country or use any of the Images in any manner prohibited by any laws, restrictions or regulations. |
|
|
|
|
|
C. The information that you provide to JUSTIN WEST is accurate and true, including, without limitation, all payment information, and/or delivery information, and you shall update such information as necessary. |
|
|
|
|
|
|
|
|
|
|
|
This Agreement, its validity and effect, shall be solely interpreted, and governed by, the laws of the State of New York, United States. Any claims shall be brought solely in the Federal District Court of the District of New York and you expressly consent to the exclusive jurisdiction of the federal courts of the State of New York, United States. You consent to the service of any required notice or process upon you by registered mail or overnight courier with proof of delivery. |

|
You may not assign or transfer to anyone else the rights granted to you in this Agreement, without obtaining prior written consent. JUSTIN WEST may assign or transfer this Agreement freely. |
|
|
|
|
|
|
|
|
Any claims must be brought within three (3) months of the date that you discovered such claim, or reasonably should have discovered such claim, or shall be waived.
So, if I am unable to remedy the situation, and you try to take me to court, the total damages sought by you and/or your agents can be no more than you've given to me. Plus you'll be paying for any and all of my legal fees, should I win any such case.

|
There will not be any monetary refunds of any kind made on options purchases. If you change your mind after purchasing an option for any specific work and print number, the possibility may or may not exist for a transfer to a different work, and any such changes shall be made at the sole discretion of JUSTIN WEST.

|
|
|
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU FURTHER AGREE THAT IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN YOU AND JUSTIN WEST, WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT, ORAL OR WRITTEN, AND ANY OTHER COMMUNICATION BETWEEN YOU AND JUSTIN WEST RELATING TO THE SUBJECT OF THIS AGREEMENT, INCLUDING, WITHOUT LIMITATION, ANY PURCHASE ORDER TERMS (EVEN IF SUCH TERMS ARE SUBSEQUENT TO THE DATE OF THIS AGREEMENT). FAQ'S, OTHER EXPLANATIONS, AND TEXT IN JUSTIN WEST'S WEB SITES ARE FOR YOUR INFORMATION ONLY AND ARE NOT, AND SHALL NOT BE CONSTRUED AS, PART OF THIS AGREEMENT UNLESS SPECIFIED OTHERWISE IN THIS AGREEMENT. |
